15 Footer Master Legal Agreement

ARTICLE I – ACCEPTANCE OF TERMS
By accessing, registering for, or using any services provided by 15 Footer, LLC (“15 Footer,” “Company,” “we,” “our,” or “us”), including but not limited to our website, mobile applications, and any related platforms or services (collectively, the “Services”), you (“User,” “you,” or “your”) acknowledge and agree to be legally bound by this Master Legal Agreement, which includes:

- Content Moderation Policy
- Arbitration & Dispute Resolution Policy
- Prohibited Automated Access Policy
If you do not agree to these provisions in their entirety, you must immediately discontinue all use of the Services. Continued use constitutes acceptance of any modifications as described herein.
ARTICLE II – COMPANY INFORMATION
15 Footer operates a basketball-focused social media platform and an e-commerce store offering apparel and select sporting goods.

ARTICLE III – ELIGIBILITY
- Minimum Age Requirement: Users must be at least thirteen (13) years of age to access or use the Services.
- Parental Consent: Users under eighteen (18) years of age must obtain verifiable parental or guardian consent prior to registration.
- Legal Capacity: By using the Services, you represent and warrant that you have the legal capacity to enter into this Agreement and that all information provided is accurate, current, and complete.
ARTICLE IV – ACCOUNT RESPONSIBILITIES
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Unauthorized use must be reported immediately to 15 Footer.
ARTICLE V – DESCRIPTION OF SERVICES
The Services include, but are not limited to:
(a) A basketball-focused social networking platform;
(b) An online store for apparel and sporting goods (including select baseball equipment);
(c) Advertising features, including behavioral and retargeted advertising;
(d) Event marketing and in-person promotional activities;
(e) Mobile applications for iOS and Android providing access to the foregoing features.
The Company reserves the right to modify, suspend, or discontinue any feature or functionality of the Services at any time without prior notice.
ARTICLE VI – ORDERS, PRICING, AND PAYMENT
- Order Acceptance: Submission of an order constitutes an offer to purchase. Acceptance occurs only upon dispatch confirmation by the Company.
- Pricing: All prices are displayed in United States Dollars (USD) and exclude applicable taxes, shipping charges, and duties.
- Payment Authorization: By submitting payment information, you authorize the Company or its designated payment processor to charge your selected payment method for the full amount of the transaction.
ARTICLE VII – SHIPPING AND RISK OF LOSS
Shipping dates provided are estimates only and not guaranteed. Risk of loss transfers to the User upon delivery of goods to the carrier. Title to goods transfers upon payment and shipment.
ARTICLE VIII – RETURNS AND REFUNDS
- Return Window: Users may return unused and unworn items in original packaging within thirty (30) days of delivery.
- Refunds: Refunds will be issued to the original payment method following inspection and approval. Shipping charges are non-refundable.
ARTICLE IX – USER CONDUCT
Users agree not to:
- Post illegal, harmful, or infringing content;
- Harass, impersonate, or mislead others;
- Use automated means to access or disrupt the Services.
Violation of these provisions may result in suspension or termination of your account.
ARTICLE X – CONTENT MODERATION POLICY
This section governs all user-generated content (UGC) and interactions on the platform.
Core Principles:
- Basketball-First: Content must primarily relate to basketball.
- Safety & Respect: No harassment, hate, threats, or sexual content.
- Integrity: No misinformation that risks harm; no deceptive behavior.
- Legal Compliance: Follow applicable laws, including for minors (13+).
- Transparency & Fairness: Clear rules, consistent enforcement, and appeals.
Prohibited Content Includes:
- Harassment, bullying, hate speech, threats, sexual content, illegal activities, misinformation causing harm, privacy violations, spam, scams, and copyright infringement.
Enforcement Actions:
- Level 1: Guidance notice
- Level 2: Warning and content removal
- Level 3: Account suspension
- Level 4: Permanent ban for severe or repeated violations
User-Submitted Content
These Terms & Conditions for User-Submitted Content (“Content Terms”) govern any content you upload, post, submit, transmit, or otherwise make available on or through 15 Footer’s websites, mobile applications, events, and related services (collectively, the “Platform”). These Content Terms form part of and are incorporated into the 15 Footer Terms of Service (“TOS”). If there is a conflict, the TOS controls unless expressly statedotherwise.
By submitting content to the Platform, you agree to these Content Terms.
Definitions
- “User Content” means any content or materials you provide, upload, post, or otherwise make available via the Platform, including without limitation: images, photographs, video, graphics, text, messages, posts, comments, profiles, usernames, audio, music, videos, live streams, compilations, metadata, ratings, feedback, suggestions, and any associated data (including captions, tags, descriptions, and EXIF data).
- “You” means the individual or entity submitting User Content and, if applicable, your employer or principal (where you act on their behalf).
Age and Account Responsibility
- Minimum Age: You must be at least 13 years old to submit User Content. If you are under the age of majority in your jurisdiction, you represent that you have parental/guardian consent to use the Platform and submitUser Content.
- Account Security: You are responsible for activity under your account and for keeping login credentials secure (including social login where supported).
License Grant to 15 Footer (Commercial and Non‑Commercial, Perpetual)
By submitting any User Content, you grant 15 Footer (and our affiliates, successors, assigns, licensees, advertising partners, event partners, sponsors, distributors, and service providers) a worldwide, perpetual, irrevocable, non‑exclusive, transferable, and sublicensable license, royalty‑free, to use your User Content for any purpose, including commercial and non‑commercial, in any and all media now known or later developed. This includes the rights to:
- reproduce, host, cache, store, index, archive, back‑up, and access;
- modify, adapt, edit, translate, transcode, compress, create derivative works, and combine with other content;
- publish, perform, display, broadcast, stream, transmit, distribute, and make available (including via third‑party platforms and ad networks);
- use for marketing, promotional materials, press, case studies, sponsorships, partnerships, merchandising, editorial, community features, events, and product development;
- monetize in any form (e.g., advertising, sponsorships, subscriptions, paid media, licensing) without compensation to you.
You also grant the right to use your name, username/screen name, voice, likeness, image, biographical information, avatars, and any other identifying information as embodied in or associated with your User Content, for the purposes outlined above and consistent with applicable law.
Waiver of Moral Rights (Where Permitted)
To the maximum extent permitted by applicable law, you waive any and all moral rights (including rights of attribution, integrity, disclosure, and withdrawal) in and to the User Content, and agree not to assert such rights against 15 Footer or our sublicensees.
5) Ownership; No Obligation to Use
- You retain ownership of your User Content, subject to the license granted in Section 3.
- 15 Footer has no obligation to host, display, or otherwise use any User Content and may remove or refuse User Content at any time in its sole discretion.
Representations and Warranties
You represent, warrant, and covenant that:
- Authority & Rights: You have full right, power, and authority to submit the User Content and grant the license in Section 3 without violating any law or third‑party rights.
- No Infringement: The User Content does not infringe, misappropriate, or violate any copyright, trademark, patent, trade secret, privacy, publicity, moral, or other rights of any person or entity.
- Consents & Releases: You have obtained all necessary consents, permissions, and releases for any identifiable persons (including minors with parental/guardian consent) and for any property, logos, artwork, music, and other protected elements included in the User Content.
- Accuracy & Compliance: User Content is accurate (where it purports to be factual) and complies with applicable laws and regulations, including advertising, marketing, endorsements, privacy, youth protections, and data protection laws.
- No Malicious Code: User Content is free of viruses, malware, malicious scripts, or code intended to disrupt or damage systems.
- No Confidential or Sensitive Data: User Content does not contain confidential, proprietary, or sensitive personal information (e.g., Social Security numbers, financial account numbers, health data) unless expressly requested by 15 Footer and subject to applicable privacy laws and our Privacy Policy.
Prohibited Content and Conduct
You agree not to submit, post, or engage in:
- Illegal content or activity; threats; harassment; stalking; doxxing.
- Hate speech, discrimination, or content targeting protected classes.
- Sexually explicit content, pornography, sexual exploitation, or age‑inappropriate sexual content.
- Violence, incitement, or graphic gore intended to shock or glorify harm.
- Fraud, scams, deceptive marketing, undisclosed endorsements, or impersonation.
- Infringing content, including unauthorized sports broadcast footage, music, trademarks, and copyrighted materials.
- Privacy violations, including non-consensual images or recordings.
- Spam or automated postings; scraping or harvesting others’ personal data.
- Circumventing access controls, platform security, or rate limits.
- Posting anyone’s private contact info without clear consent.
15 Footer may moderate, remove, or restrict content and accounts for violations, or for safety, legal, or policy reasons.
Moderation; Enforcement; Reporting
- 15 Footer may review, filter, refuse, remove, or disable access to User Content at any time, with or without notice, consistent with our TOS, Community Guidelines, and applicable law.
- Reporting: If you believe content infringes your rights or violates law/policy, contact [email protected] or use provided reporting tools.
- Repeat Infringer Policy: Accounts repeatedly violating intellectual property or community policies may be suspended or terminated.
Intellectual Property Complaints (DMCA / Similar)
If you believe User Content on the Platform infringes your copyright, please submit a takedown request containing all elements required under the DMCA (17 U.S.C. § 512) or applicable local law to [email protected](or the designated copyright agent listed in our TOS). Counter‑notices may be accepted as permitted by law. 15 Footer may also honor other IP complaints (e.g., trademark) under applicable procedures.
Personal Data; Privacy
- Processing of personal data in or associated with User Content is governed by our Privacy Policy, including CCPA/CPRA (for California residents) and other applicable privacy laws. See [email protected] for DPO/contact.
- Publicity & Identifiers: By submitting User Content, you agree 15 Footer may display your username/screen name and profile details associated with the content.
- Retention: We retain User Content consistent with our data retention practices and applicable law. Removal of content from public display does not necessarily delete all backups or derivatives already created under the license.
Advertising, Sponsorships, and Use with Third‑Party Platforms
You consent to 15 Footer using User Content in connection with advertising, sponsorships, influencer collaborations, partner integrations, and distribution across third-party platforms, ad networks, and social channels, subject to the license in Section 3. 15 Footer may sublicense rights as needed to effect such uses.
Feedback
If you submit feedback, ideas, or suggestions to 15 Footer (“Feedback”), you grant 15 Footer a perpetual, irrevocable, worldwide, royalty‑free license to use and exploit the Feedback without restriction and without compensation or attribution.
Indemnification
You agree to defend, indemnify, and hold harmless 15 Footer, its affiliates, officers, directors, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses(including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your User Content; (b) your breach of these Content Terms or the TOS; (c) your violation of any law or third‑party rights; or (d) your use of the Platform.
Disclaimers; No Warranties
User Content may be user‑generated and is provided “as is.” 15 Footer does not endorse, guarantee, or verify the accuracy, integrity, or quality of any User Content. To the maximum extent permitted by law, 15 Footerdisclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and non‑interference.
Limitation of Liability
To the maximum extent permitted by law, 15 Footer will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, data, use, goodwill, or other intangible losses, arising from or relating to User Content or the Platform, even if advised of the possibility of such damages. 15 Footer’s aggregate liability to you for all claims relating to User Content shall not exceed $100 USD or the amount you paid (if any) to 15 Footer for use of the Platform in the 12 months preceding the claim, whichever is greater.
Termination; Survival
15 Footer may suspend or terminate your account or access at any time for violations of these Content Terms, the TOS, or applicable law. Sections 3–5 and 11–17 (including license grants, disclaimers, limitations of liability, indemnification, and survival) survive termination and continue in effect.
Changes to These Content Terms
We may update these Content Terms from time to time. If we make material changes, we will provide notice (e.g., by posting on the Platform or sending an email). The updated terms are effective when posted, unless otherwise stated. Your continued submission of User Content after changes become effective constitutes acceptance.
Governing Law; Venue; Dispute Resolution
These Content Terms are governed by the laws of the State of California, without regard to conflict of law principles, and subject to any arbitration/dispute resolution provisions set forth in the TOS. Venue for any permitted court proceedings lies in the state and federal courts located in Alameda County, California, unless the TOS specifies binding arbitration.

ARTICLE XI – ADVERTISING AND PRIVACY
The Company uses cookies and advertising technologies, including behavioral ads. California residents aged thirteen (13) to sixteen (16) must opt in before any sale or sharing of personal information.
ARTICLE XII – INTELLECTUAL PROPERTY
All content, trademarks, and intellectual property displayed on or through the Services are owned or licensed by 15 Footer. Users may not copy, modify, distribute, or create derivative works without prior written consent.
ARTICLE XIII – ARBITRATION & DISPUTE RESOLUTION POLICY
- Agreement to Arbitrate: All disputes, claims, or controversies arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
- Class Action Waiver: Users waive any right to participate in class actions, class arbitrations, or representative proceedings. All claims must be brought individually.
- Venue and Governing Law: Arbitration shall occur in Alameda County, California, and these Terms shall be governed by California law.
- Exceptions: Users may seek relief in small claims court for qualifying disputes.
ARTICLE XIV – AMENDMENTS
The Company reserves the right to amend these Terms and Policies at any time. Continued use of the Services following any amendment constitutes acceptance of the revised Terms.

Prohibited Automated Access Policy
At 15 Footer, we prioritize the security, integrity, and privacy of our platform and its users. To maintain a safe and fair environment, the following activities are strictly prohibited on our website and mobile application:
- Web Scraping
Automated tools, scripts, or bots designed to extract data from our platform—whether for commercial, research, or personal purposes—are not permitted. This includes any attempt to collect user information, product details, pricing, or other proprietary content.
- Data Theft
Unauthorized access, copying, downloading, or use of any data, including user profiles, images, text, or intellectual property, is strictly forbidden. Any attempt to bypass security measures or exploit vulnerabilities will result in immediate termination of access and potential legal action.
- Crawling
Systematic or automated crawling of our website or mobile application, including indexing search engines or any other purpose without prior written consent, is prohibited. This applies to all forms of automated interaction that place undue load on our servers or compromise user experience.
Enforcement
Violations of this policy may result in:
- Immediate suspension or termination of account access.
- Legal action under applicable laws, including the Computer Fraud and Abuse Act and other data protection regulations.
